DocuProp Terms and Conditions of Use

1. Introduction

These Terms govern your access to and use of the DocuProp platform, services, and tools ("Services"). By using DocuProp—whether as a guest or subscriber—you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the platform.

2. About DocuProp

DocuProp is a digital platform operated by Docuprop Innovation Limited. It provides users with tools to generate, store, sign, and manage documents for both property and non-property related transactions.

3. Eligibility and Account Types

You must be at least 18 years old and have the legal capacity to enter into binding agreements. Access may be through:

• Guest Accounts: limited access for one-time document use;
• Registered Subscriptions: access to enhanced features via a paid annual plan.

You are responsible for all activity under your account and for maintaining confidentiality of your credentials.

4. Scope of Services

DocuProp provides the following services:

• Document templates for a variety of property and non-property related transactions;
• Digital quit notice generation and delivery tools;
• E-signature functionality;
• Cloud-based document storage;
• Annual subscription access with differentiated service levels.

These tools are for administrative use only and do not constitute legal advice unless expressly reviewed by a qualified professional.

The technologies and methodologies used by DocuProp to deliver these services are proprietary and confidential.

5. User Obligations and Usage Restrictions

You agree not to:

• Use the Services for illegal, fraudulent, or harmful purposes;
• Attempt to reverse-engineer, replicate, or infer DocuProp's workflows, logic, or automation processes;
• Bypass subscription or payment mechanisms;
• Resell or redistribute content or templates;
• Upload malware, spam, or unauthorised materials;
• Impersonate any other user or entity.

DocuProp reserves the right to restrict, suspend, or terminate access for breaches of these Terms.

6. Intellectual Property and Platform Protection

All content, templates, branding, software, and processes belong to Docuprop Innovation Limited or its licensors.

Platform Methodology Protection:

The document automation, e-signature flow, quit notice processing, and all related workflows are proprietary to Docuprop Innovation Limited. Accessing the platform does not confer any right to duplicate, imitate, or disclose its logic or methods.

7. Ownership of User Content

You retain ownership of any documents or data you upload or generate using DocuProp. You grant us a limited, non-exclusive licence to use such content strictly for the purpose of delivering the Services. You remain responsible for the legality and accuracy of your content.

8. Payments and Refunds

• Payments are accepted in Nigerian Naira (₦) and any other currency provided on the platform;
• All payments are processed through secure third-party gateways;
• Subscription fees are final and non-refundable once a service is rendered;
• Subscriptions are annual and renew automatically unless cancelled at least 45 days before the end of the current subscription period;
• Failed or reversed payments may result in suspended access.

9. Third-Party Services and Links

The platform may contain links to or integrations with third-party services (e.g., payment processors, APIs, government registries). DocuProp is not responsible for the content, reliability, or availability of such services and does not endorse or guarantee them.

10. Disclaimer of Legal and Professional Advice

DocuProp does not provide legal, financial, or professional advice. All templates and tools are provided "as is" for administrative use.

Users are strongly encouraged to seek independent legal and professional advice before using documents for binding transactions.

11. Communications and Notifications

By using the platform, you agree to receive account-related communications from DocuProp via email or SMS. You may opt out of marketing messages at any time, but not service notifications or legal updates.

12. Limitation of Liability

Docuprop Innovation Limited shall not be liable for:

• Use of documents without appropriate legal or professional advice;
• Technical errors, data loss, or downtime;
• Misuse of the platform by users;
• External service outages or force majeure.

Maximum liability is limited to the amount paid for the service giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless Docuprop Innovation Limited and its affiliates against any claims, damages, or liabilities arising from your breach of these Terms or misuse of the platform.

14. Force Majeure

DocuProp shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, power outages, civil unrest, technical failures, or acts of government.

15. Termination

We may suspend or terminate your access at any time for violation of these Terms or applicable law. On termination, your stored documents may be permanently deleted subject to our data retention policy.

16. Changes to Terms

We may update these Terms at any time. Changes will be posted on the platform, and continued use constitutes acceptance. Users are encouraged to review Terms periodically.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

Any disputes that cannot be resolved through negotiation shall be referred to arbitration under the current Arbitration and Conciliation Act in Nigeria.

18. Entire Agreement

These Terms, along with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Docuprop Innovation Limited and supersede any prior communications or understandings.
